Company
shall be in default upon the failure to pay any
fees or charges hereunder when due, or the failure
to perform any other term, condition or covenant
of this Agreement and such failure is not cured
within a period of thirty (30) days after receipt
of written notice thereof. Upon any Company default
Direct Bill may terminate this Agreement, which
termination shall be without prejudice to any other
rights which Direct Bill may have against Company
with respect thereto, and shall not entitle Company
to any refund of fees or charges. Company shall
pay all costs, expenses, damages and reasonable
attorney’s fees incurred by Direct Bill in
the exercise of its rights or remedies hereunder.
The foregoing remedies are not exclusive, but are
cumulative and in addition to any other remedy available
to Direct Bill at law or in equity.
