Warranty and Remedies.
Direct Bill warrants that the Direct
Bill Services and Direct Bill Data will, upon delivery
thereof, be as current, accurate and complete as
may reasonably be achieved using the source data
and data processing methods normally employed by
Direct Bill in the ordinary course of its business;
provided, however, the Direct Bill Services and
the Direct Bill Data are not warranted as being
error free, and the Direct Bill Data is not warranted
as including all available state sourced do not
call information. THE FOREGOING IS A LIMITED WARRANTY
AND DIRECT BILL MAKES AND COMPANY RECEIVES NO OTHER
WARRANTY, EXPRESS OR IMPLIED. ALL IMPLIED WARRANTIES
OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE ARE EXPRESSLY EXCLUDED. Direct Bill’s
sole obligation and Company’s sole remedies
under the foregoing limited warranty is the correction
of any errors in the Direct Bill Services or Direct
Bill Data which are made known to Direct Bill by
written notice from Company describing such errors
in detail, or (ii) the refund of the fees and charges
applicable to the Direct Bill Services or Direct
Bill Data in error, provided, however, Company acknowledges
that some corrections of errors shall be dependent
on the availability of same from the source of the
applicable data.
